    Zuckerberg to Be Taxed at Lower Rate Than Most Facebook Employees

    Facebook founder and CEO Mark Zuckerberg's future tax rate is likely to be in Mitt Romney territory while more recent Facebook employees will be taxed around the rate of Warren Buffett's secretary.

    While the gulf in rates raises 1% vs. 99% tax fairness issues, the picture is more complicated than that. Facebook's decision to remain private for so long also contributed to the difference.

    After Facebook released its S-1 document related to its IPO last week, back-of-the-envelope calculations revealed that Zuckerberg would pay $1.5 billion to $2 billion in taxes after cashing in stock options worth around $5 billion.

    That figure was determined by taking 35% -- the top federal income tax rate. Zuckerberg would also have to pay a tax of about 10% in California.

    However, since Zuckerberg's income will primarily be based on sale of Facebook stock going forward, his income will be treated as capital gains. Tthe current rate is 15%. Mitt and Ann Romney estimate they will pay a rate of 15.4% for 2011 on income of $20.9 million because that income came from capital gains. The disparity between the rate that the rich pay -- Romney and his wife are worth more than $400 million -- became a hot-button issue recently as the Occupy Wall Street movement protested the gap between the top 1% and the rest of the country.

    In his State of the Union address last month, President Obama underscored the fairness issue by inviting billionaire Warren Buffett and his secretary, Debbie Bosanek. Bosanek pays a tax rate of 35.8% while Buffett, who makes most of his money via capital gains, pays 17.4%.

    Since they hold restricted stock units rather than standard stock, most of Facebook's 3,200 employees will pay a rate closer to Bosanek's than Buffett's. That's because RSUs -- which Facebook began granting in 2007 instead of stock options -- are treated as income and taxed at 35% or so. RSUs have become popular in recent years as startups began holding off longer on IPOs.

    By limiting their pool of investors to less than 500 (the Security and Exchange Commission's limit), companies like Facebook can stay private, but still reward its employees and give them incentive to stay. But RSUs, which in Facebook's case will convert to common stock six months after the company's IPO, are treated as income, while standard stock (though not stock options) is treated as capital gains.

    While some have pointed to Facebook's "Warren Buffett problem" as proof of the tax system's unfairness, Gary Reing, a tax lawyer, notes that one of the reasons companies like Facebook use RSUs is because the employees usually couldn't afford to buy the stock. Says Reing: "If they have the money, they can buy Facebook's stock like anyone else and get the 15%."

        Taht is the capital gains ratew. Not personal income tax rate. If Zuckerburg earned a salary and didn'y pay any taxes, he would be in violation of the tax code. Look for all the information, not just the stuff the spinners want you to see.

        Ummm....derrrr. The problem is, rude named person, that preferential treatment is given to those with money via the tax code while the rest of us have to pay full price. This is decreasing revenue to the fed. gov't. b/c it's allowing the very people who have the most to contribute to not contribute their fair share. Why have laws been written to allow the corporate elite to receive their pay via stock options? Because it's a way to ensure they get favorable tax treatment. Why are they getting favorable treatment and the rest of us aren't? Why can't we recieve my pay via stock options so I can take advantage of a lower tax rate?
        And while we're at it, why on earth do you think something like this is even remotely close to fair for the rest of us? In a football game, would it be fair to give one team a 20 point head start? No....life doesn't work that way. It's a level playing field and should be for EVERYONE.

        No Bob, the latest PEW study show that the non-rich move up and down the median pay range. It is not static and it is not unfair. We all have opportunities. If we take advantage of those opportunities and make responsible choices, we too can rise above the poor class. All have that opportunity. ALL!

        No-brain-a's comment is typical of the Republican, moneyed class. He wants the rest of us working stiffs to think we can all get rich if we just work hard and make the right choices. But the truth is, WE CAN'T ALL GET RICH! The world just doesn't work that way.

        A fair tax system would have the rich pay more than the middle class. Is that too much to ask?

      They fail to mention that if Zuckerburg draws a salary as CEO, his income will be taxed at the normal rate. He only gets the lower rate when he sells an asset that he already owns.

        Even if his salary were $1 million, his effective tax rate would still be essentially the capital gains rate because one billion is much much bigger than one million.

      I am not defending Zuckerburg, or any other wealthy person. I am not a wealthy person. But when someone pays millions $ in taxes, when 50% of Americans pay no taxes, you have to think for a moment, where the problem lies. The -tax-rate- thing might be good politics. But Really, Why Not Focus on WHO pays what, and WHO does NOT pay Nothing, on Taxes?

        Marvin, nobody in America pays no taxes. They pay sales tax, payroll tax, and various other taxes they just do not pay income tax because 50% do not make enough to be taxed. Many are children, or seniors on a fixed low income, or work for minimum wage. It is and will always be unfair when I pay 12,000 of my 50,000 income and Romney pays 4,000 for every 50,000 he makes.

        That bull$#it about 50% of the people not paying taxes is a lie.

        First, as Adam correctly pointed out, EVERYBODY pays sales taxes and property taxes (directly or indirectly), and second, those folks who don't pay federal income taxes are the ones who earn little or nothing to begin with! (And even THEN, working people pay Social Security and Medicare taxes on the FIRST DOLLAR EARNED!)

THEY need the most HEALTHCARE! THEY need the SCHOOLS built! THEY are the ones, causing the need for more roads to be built! THEY are the ones adding to our ALREADY overpopulated planet!

        I agree with the point about single working class people with no family to pay less, but most middle class families are already paying an unfair tax rate. Furthermore, these families are big contributors to the economy through buying homes, vehicles, lots of food, etc. We're all getting screwed here. If I were to make 100k, I would have 65k after taxes. If Mitt Romney were to pay the same tax rate, he would still have 13.6 million, and has likely done far less work than the average working class American.

      If our government wasn't so big and we relied more on people, we wouldn't have to worry about levy's being posted on our income by the state anyway.

      The solution is not more tax, but less state. I don't want to pay my 'fair share', I want to keep the fruit of my labor.

      Although I think if we eliminate lobbying completely, Anti-Trust laws and property rights were truly enforced at the essence of the meaning, then I don't think we would have to worry so much about monopolistic-corporatism as what is the real problem now. Throughout banking, and many other countless Corporations (Monsanto, Halliburton, BP, Exxon, Goldman Sachs, Bechtel, Merck, Wal-Mart, etc.).

      Unfortunately people are only as informed as their 3rd grade mass media tells them. And do not want, or have the attention span to deal with 'big picture' problems like that. So they do what their told via the media.
