How Many Insiders Sold Sonoco Products Company (NYSE:SON) Shares?

We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So before you buy or sell Sonoco Products Company (NYSE:SON), you may well want to know whether insiders have been buying or selling.

Do Insider Transactions Matter?

It’s quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

We don’t think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. As Peter Lynch said, ‘insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.’

The Last 12 Months Of Insider Transactions At Sonoco Products

Over the last year, we can see that the biggest insider sale was by Senior Vice President of Paper/Industrial Converting Americas Rodger Fuller for US$713k worth of shares, at about US$51.05 per share. So it’s clear an insider wanted to take some cash off the table, even below the current price of US$56.09. Even though it doesn’t necessarily mean anything, that’s certainly not a positive sign, in our book. When an insider sells below the current price, it does tend to make us wonder about the current valuation. Please note, however, that this single sale was just 16.2% of Rodger Fuller’s stake.

In the last twelve months insiders netted US$1.4m for 26.65k shares sold. In total, Sonoco Products insiders sold more than they bought over the last year. The sellers received a price of around US$52.37, on average. It’s not ideal to see that insiders have sold at around the current price. Since insiders sell for many reasons, we wouldn’t put too much weight on it. The chart below shows insider transactions over the last year. Insider Ownership of Sonoco Products

Many investors like to check how much of a company is owned by insiders. I reckon it’s a good sign if insiders own a significant number of shares in the company. Sonoco Products insiders own about US$106m worth of shares (which is 1.9% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Do The Sonoco Products Insider Transactions Indicate?

The fact that there have been no Sonoco Products insider transactions recently certainly doesn’t bother us. It’s great to see high levels of insider ownership, but looking back at the last year, we don’t gain confidence from the Sonoco Products insiders selling. Of course, the future is what matters most.
