Who Has Been Selling Rexnord Corporation (NYSE:RXN) Shares?

We often see insiders buying up shares in companies that perform well over the long term. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Rexnord Corporation (NYSE:RXN).

Do Insider Transactions Matter?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock on the market. However, such insiders must disclose their trading activities, and not trade on inside information.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year.'

Rexnord Insider Transactions Over The Last Year

The President, Todd Adams, made the biggest insider sale in the last 12 months. That single transaction was for US$4.0m worth of shares at a price of US$28.74 each. That means that an insider was selling shares at around the current price of US$28.24. While we don't usually like to see insider selling, it's more concerning if the sales take price at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive). Notably Todd Adams was also the biggest buyer, having purchased US$1.7m worth of shares.

Happily, we note that in the last year insiders paid US$1.7m for 316k shares. But they sold 717k for US$17m. In total, Rexnord insiders sold more than they bought over the last year. The sellers received a price of around US$23.31, on average. We don't gain confidence from insider selling below the recent share price. But we wouldn't put too much weight on the insider selling. Rexnord Insiders Are Selling The Stock

Over the last three months, we've seen notably more insider selling, than insider buying, at Rexnord. In that time, insiders dumped US$13m worth of shares. On the other hand we note President Todd Adams bought US$999k worth of shares. Since the selling really does outweigh the buying, we'd say that these transactions may suggest that some insiders feel the shares are not cheap.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Rexnord insiders own about US$22m worth of shares. That equates to 0.7% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
